Information & Content, Generally

In the course of using the Site, you may submit or disseminate certain information or content, and you may receive or access information or content submitted or disseminated by others. Such information and content typically falls into one of three categories:

Payment Terms

Client shall pay all amounts owed to Company in respect of the Service, whether quoted as a set price (individually, or as part of a bundle or package), or based on Company’s rate card, including any applicable cancellation or other fees set forth in an Order or applicable Supplement to these Terms & Conditions or otherwise agreed between Company and Client (collectively, the “Administrative Charge”). Administrative Charge are invoiced, according to our Refund Policy. Client shall reimburse Company for all legal fees and collection costs and expenses incurred in connection with enforcement of this Agreement, including collection of the Administrative Charge and any other charges applicable. Company also reserves the right to impose a reasonable charge for any costs it may incur in connection with a regulatory request, court order or subpoena pertaining to Client or Client's use of the Service and/or Client's business in general where Company is not a party to such action.

We use third-party services for payment processing (e.g. payment processors). We will not store or collect your payment card details. That information is provided directly to our third-party payment processors whose use of your personal information is governed by their Privacy Policy. These payment processors adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, Mastercard, American Express and Discover. PCI-DSS requirements help ensure the secure handling of payment information.

If you decline to have us collect such information (for example, by disabling cookies; see Cookies & Other Tracking Mechanisms below), we may not be able to provide some or all of our Services to you.

Rate Card

With respect to Clients that "pay as you go" (i.e. paying for a service before it is used) invoice charges based on Company’s rate card, Company reserves the right to change its rate card for services at any time.

Exclusivity Clause

Agreement: Unless otherwise agreed to by the parties in the Order, the Client and/or any agency issuing news on the Client’s behalf shall use the Company exclusively for all Distribution Services during the Service Term.
Breach of Exclusivity: In the event that the Client breaches the exclusivity obligation stated above, the Company, without waiving any rights it may have under the Agreement or otherwise, may withhold the full invoiced amount.

REPRESENTATIONS & WARRANTIES

Client represents and warrants that (i) it has the right, power and authority to enter into this Agreement and to grant the rights granted to Company hereunder; (ii) it will comply with all federal, state, local and international laws, rules and regulations in connection with its use of the Service; and (iii) there exists no legal reason that Company should deny Service to Client.
Company represents and warrants that (i) it has the right, power and authority to enter into this Agreement; (ii) it will comply with all federal, state, international and local laws, rules and regulations applicable to Company’s business in connection with the provision of Services to Client hereunder; and (iii) it will perform its obligations under the terms of this Agreement in accordance with applicable industry standards.

Information & Content Submitted by You

You agree that you are solely responsible for all information and content that you submit to or through the Site.

You represent and warrant that you will not submit information or content that contains any material that:

is false, inaccurate, outdated or misleading;
infringes PR MAXWIRE’s or any third party's copyright, moral, patent, trademark, trade secret or other proprietary rights, contract rights, or rights of publicity or privacy;
is defamatory or libelous, including trade libel or product disparagement;
is threatening, abusive or harassing;
is vulgar, obscene, offensive, or pornographic, or contains links to any external Internet sites that are obscene or pornographic, or display pornographic or sexually explicit material of any kind;
is unlawful, harmful or injurious to others; or
is otherwise inappropriate to the substance of the discussion or other exchange of information.

You further represent and warrant that:

you will only submit information and content that is either original and exclusively owned by you, or to which you have obtained all necessary third-party permissions and licenses;
you will only submit information and content to or for which you have affixed copyright notices and attributed all third party content, as necessary; and
you have the full and unrestricted power to submit all information and content submitted by you and to convey all rights conveyed in that information and content.

You agree not to submit information or content:

in violation of a nondisclosure agreement or other obligation of confidentiality; or
in violation of any law, ordinance, rule or regulation (including those governing export control, securities, unfair competition, insider trading, privacy, intellectual property and false advertising).

You agree that we may, in our sole discretion and without prior notice to you, edit, move, refuse or remove any such information or content, and take any other action permitted under these TOU.

You acknowledge that PR MAXWIRE has no responsibility or liability for the actions of other users of the Site, including actions another user may take or fail to take with respect to information or content that you submit to the Site. REGARDLESS OF THE FORM OF ACTION, WHETHER TORT, BREACH OF CONTRACT, BREACH OF WARRANTY, STRICT LIABILITY, OR OTHERWISE, IN NO EVENT SHALL THE PR MAXWIRE PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGE OR EXPENSE, INCLUDING LOSS OF BUSINESS, LOST PROFITS OR OTHER ECONOMIC DAMAGE OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF (OR YOUR INABILITY TO USE) THE SITE OR ANY PR MAXWIRE MATERIALS, OR ARISING FROM ANY OTHER CAUSE, EVEN IF THE PR MAXWIRE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OR FORESEEABILITY OF SUCH DAMAGE OR EXPENSE.

Limitation of Liability

THE PR MAXWIRE PARTIES’ TOTAL CUMULATIVE LIABILITY TO YOU ON ACCOUNT OF ANY AND ALL CLAIMS AND ACTIONS OF ALL KINDS, INCLUDING TORT, CONTRACT, STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY ARISING IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITEOR ANY PR MAXWIRE MATERIALS, OR ARISING FROM ALL OTHER CAUSES, SHALL NEVER EXCEED THE GREATER OF THE TOTAL AMOUNT PAID TO THE PR MAXWIRE PARTIES BY YOU, IF ANY, FOR ACCESS TO THE SITE IN THE CURRENT CALENDAR YEAR AND ONE HUNDRED DOLLARS ($100.00).

NOTWITHSTANDING THE FOREGOING DISCLAIMERS AND LIMITATIONS OF LIABILITY, NOTHING IN THESE TOU EXCLUDES OR LIMITS THE PR MAXWIRE PARTIES’ LIABILITY FOR ANY CLAIM THAT, BY LAW, CANNOT BE EXCLUDED OR LIMITED.
